    These Fleet Fueling Terms & Conditions (“Agreement”) govern commercial fuel delivery services provided by FuelXpress Mobile Fueling, LLC (“FuelXpress,” “Company,” “we,” “us,” or “our”). By engaging FuelXpress for fleet fueling services, the customer (“Client”) agrees to the following:

    1. Service Scope

    FuelXpress provides on-site delivery of gasoline and/or diesel fuel to commercial vehicles, equipment, agricultural machinery, and job site assets within approved service areas.

    Service may be provided on a scheduled, recurring, or as-requested basis, subject to operational approval.

    2. Pricing

    Fuel pricing is based on transparent, market-based pricing at the time of delivery. Pricing may fluctuate due to wholesale markets, supply conditions, transportation costs, and operational factors.

    Quotes, if provided, are estimates and not guaranteed unless confirmed in writing.

    3. Minimum Delivery Requirements

    FuelXpress reserves the right to establish minimum delivery volumes based on service location, frequency, and operational efficiency. Minimums may vary depending on account size and route density.

    4. Payment Terms

    A valid payment method or approved billing arrangement must be established prior to service.

    Payment options may include:

    • Automatic card billing

    • ACH transfer

    • Approved invoicing terms

    Unless otherwise agreed in writing, invoices are due upon receipt. Late payments may result in suspension of service.

    5. Failed or Late Payments

    FuelXpress reserves the right to:

    • Suspend service for unpaid balances

    • Assess reasonable late fees

    • Require prepayment for future deliveries

    Repeated late payments may result in termination of service.

    6. Site & Equipment Access

    Client is responsible for ensuring:

    • Safe and clear access to vehicles and equipment

    • Adequate workspace for fueling operations

    • Compliance with OSHA and site safety standards

    • Proper identification of fuel type for each asset

    FuelXpress may refuse service if conditions are unsafe or access is restricted.

    7. Environmental & Spill Responsibility

    FuelXpress follows industry-standard spill prevention procedures.

    Client is responsible for maintaining equipment in safe operating condition, including fuel tanks, caps, and fittings.

    FuelXpress shall not be responsible for leaks or damages resulting from pre-existing mechanical defects or faulty equipment.

    8. Scheduling & Service Modifications

    Service schedules may be adjusted due to:

    • Weather conditions

    • Route optimization

    • Equipment availability

    • Supply chain disruptions

    • Safety concerns

    FuelXpress does not guarantee specific delivery times unless contractually agreed.

    9. Limitation of Liability

    To the fullest extent permitted by law, FuelXpress shall not be liable for:

    • Indirect or consequential damages

    • Loss of business or revenue

    • Delays due to uncontrollable events

    • Pre-existing mechanical or fuel system issues

    FuelXpress’s total liability shall not exceed the amount charged for the specific delivery giving rise to the claim.

    10. Termination of Service

    Either party may terminate recurring service with reasonable notice. Outstanding balances remain due upon termination.

    FuelXpress reserves the right to terminate service immediately for safety violations, non-payment, or breach of these terms.

    11. Governing Law

    This Agreement shall be governed by the laws of the State of Alabama.

    12. Entire Agreement

    These Terms & Conditions constitute the entire agreement between Client and FuelXpress Mobile Fueling, LLC regarding fleet fueling services.
